A construction contract in exchange for a share of the land, or as it is commonly known, a construction contract in exchange for a share of the building, Turkish Code of Obligations This is a hybrid contract, encompassing elements of both a construction contract and a real estate sales contract, regulated under Article 470. It is a contract whereby the property owner transfers a certain percentage of the land to a contractor, in exchange for the contractor delivering specific independent sections of a building constructed on the property to the property owner.
In a construction contract in exchange for a share of the completed building, both parties are mutually obligated and have claims against each other, making it a bilateral contract. The landowner is obligated to transfer ownership of the agreed-upon land shares to the contractor, while the contractor is obligated to complete the building and deliver the specified independent units to the landowner.

Kural olarak kat karşılığı inşaat sözleşmeleri karşılıklı edimleri içeren tam iki tarafa borç yükleyen sözleşmelerdendir. Sözleşmenin taraflarından arsa sahibi sözleşmeye uygun koşullarda arsasını yükleniciye teslim etmek, yüklenici de kendisine karşı edimini yerine getirdiğinde, edimi karşılığı yükleniciye bırakılan bağımsız bölümlerin tapusunu ona bırakmakla yükümlüdür. Sözleşmenin diğer tarafı olan yüklenici sözleşmede kararlaştırılan koşullarda binayı yapıp, arsa sahibine teslim etmekle yükümlüdür. Bu şekilde bir sözleşme imzalayan yüklenici inşaat sözleşmesinden doğan edimleri yerine getirdiğinde arsa sahibine karşı kişisel hak kazanır ve sözleşme uyarınca kendisine bırakılan bağımsız bölümlerin tapusunun, adına nakledilmesini isteyebileceği gibi Borçlar Kanunu 162 v.d maddeleri uyarınca bu kişisel hakkını arsa sahibinin rıza ve onayını almaya gerek olmaksızın YAZILI OLMAK KOŞULU İLE 3.Kişilere devir ve temlik edebilir.
