Ticari süreçlerde, gizlilik sözleşmeleri artık hayatımızın bir parçası haline geldi. Peki, sürekli karşımıza çıkan ve genellikle masum görünen gizlilik sözleşmelerinde (veya sıklıkla duyduğumuz hali ile NDA / “Non Disclosure Agreement”) nelere dikkat edilmeli? Sizler için en önemli olduğunu düşündüğümüz beş maddeyi özetledik.

1- Parties

If the parties to a confidentiality agreement are not the same as the parties with whom the confidential information will be shared, is there any point in signing the agreement? Probably not. Therefore, when signing a confidentiality agreement, it is necessary to ensure that the information in the parties clause is up-to-date. If the parties are commercial companies, obtaining not only the address and trade name but also information such as tax identification number or MERSIS number will greatly facilitate the identification of the company in the future.

2- Duration of the Contract

Defining the boundaries of processes in contracts is, in fact, the primary purpose of a contract. Generally, the duration for which the parties are obligated to retain and/or protect the information they have obtained under the contract should be specified. A confidentiality agreement for only one year would not be reasonable, and an obligation that extends indefinitely would generally not be accepted by the other party. A decision should be made considering industry practice and general business conditions.

3- Definition of Confidential Information

The definition of confidential information will be narrowed or broadened depending on the roles of the parties in the contract. Accurately defining confidential information and establishing a scope that will not disrupt the business process is crucial here.
