What is a Stock Option? | Start-up Lawyer
İngilizce “stock option” kavramı; “The right to purchase shares at specific times and under specific conditions.” olarak çevrilebilir.
Stock options are an extremely popular method for attracting, motivating, and retaining employees, especially when companies cannot afford to pay attractive salaries to qualified employees who are moving abroad due to currency fluctuations. It allows newly established businesses to share in company success without incurring large sums of money. In fact, in some cases, it can even result in cash flowing into the company's capital through employees purchasing shares via stock options.
Why is it preferred?
- To attract and retain talented employees,
- To increase employee loyalty or motivation,
- Because it is more cost-effective than implementing cash incentive programs for employees,
- For small companies to compete with large companies,
- To attract qualified employees.
Disadvantages
- The main downside for other company shareholders might be a reduction in their share of shares due to the sale of shares to company employees through stock options.
- For employees, the biggest drawback is that instead of receiving a larger cash amount as a result of bonuses and incentives, they will be presented with a long-term investment vehicle.
Differences Between Vesting and Other Methods
The fundamental difference between stock options, which mean an employee owns stock over time by meeting certain criteria, and vesting, is that while stock options give employees the right to purchase stock at a suitable price, in vesting, employees are directly provided with stock once the necessary criteria are met.
